LLC with $1MM of Assets looking to Merge With Profitable LLC/LP (NY pref)

I am currently running small Hedge Fund LP that has around $10MM of operating losses from a past adverse event. Since the loss is at the partnership level, it has to stay with the partnership and cannot be sold. However, the loss can be used by another LP or LLC in a merger - even if the merging entity keeps all their existing ownership.
