I am considering the acquisition of a very profitable business for eight figures.
I am an American living in the U.S. but the business is based in Europe. Since it's an online business and the employees work remotely, I can run it from the U.S. However, because the business is based in Europe and because of the price, an SBA loan is not an option. What are my options as far senior and junior debt? The seller will probably accept a seller note for 10% to 20%. What would the capital stack look like in terms of % senior debt, junior debt, seller note, and required equity injection?
