What is Searchfunder.com?

Legal Counsel Recs

Looking to ask the community for any thoughts/connections of search-focused lawyers to reach out to? Ideally counsel has experience in SMB's.

Additionally, thoughts on when to first engage counsel in the search process?

Hi Matt - Depends on Geography. If you are looking for someone in North Texas, DM me. Regarding when to engage, I think you should start interviewing attorney's early in the search process. When you find a deal you want to pursue, you want to have legal counsel lined up and ready to go.

Something to consider - if you're asking the business broker on your deal to provide an attorney, that broker is strongly incentivized to get the deal closed. There is a likelihood broker will recommend attorneys that will close the deal - for better or worse. The brokers around here hire law firms to act as "neutral" attorneys to paper up deals and get them to the closing table faster. Sometimes this might be ok and cost-effective but be sure you understand the underlying incentives and what you expect from your legal counsel on a given deal. Searchfunder has great webinars on this (You can see one I did regarding finding attorneys for smaller deals here:redacted).

If you're considering talking to brokers, I would consider brokers who aren't involved on your deal deal (brokers with a good reputation - I have heard they exist!) or talking to accountants, commercial lenders, or other folks whose paycheck isn't contingent on the deal Closing.
