Large Therapy Company in Canada

Both owners are looking to sell. They want to continue managing the business for a few years then transition into only doing therapy work. There are currently 45 therapists, 4 managers and 5 administrators. I am looking for an investor to put in 10-20% as cash. We have the rest of the deal financed via commercial debt and VTB. We plan to buy the company for 4x EBITDA using 50%-60% commercial debt, 40-30% VTB and 20-10% investor equity.
