JV for exclusive distribution rights in the US of a French SaaS business

I am coming to the community to look for someone who who has experience in negotiating an exclusive distribution agreement with a French tech company that developed artificial intelligence to make better sports betting predictions. They are generating about $11k/month with their subscription model in France, and they are interested in doing a JV with my company for distribution rights in the US market.

Please let me know if you have any relevant experience in crafting an agreement of sorts including the economics and responsibilities of each party...?
