Hi I'm looking for searchers who have acquired (or spent a lot of time) in this space. I'm currently doing pre-LOI diligence on a company and would love to get some insight into industry-specific diligence areas & yellow/red flags to look for. The staffing business is potentially attractive due to the high quality of revenue (multiyear contracts, high repeat) and I think it could be a platform to add on managed services. As a side note, I've worked in tech implementation for 12+ years and will be able to bring in some competency albeit not direct experience. Some interesting nuances at play including high owner involvement in business, the backoffice offshore, 75% of placements come from their channel, and they have some tangential businesses they want to package in.

I've done advisory and qofe work for staffing businesses. Couple items to look at pre diligence is the breakdown of opportunities, then capacity to place those opportunities and then win rate of those opportunities. This will give you a good guide on how efficient the company is at placing and what their current capacity looks like. The other thing to look at is contracts per client, churn, renewal, etc.
