Gittelson Ventures LLC (the “Sponsor”) is acquiring Project Millwork (the “Company”), a 60+ year institutional millwork manufacturer headquartered in Southern California. The Company generated approximately $21.9M of revenue and $3.74M of QoE-adjusted EBITDA ($2.92M reported) for FY2025, serving education, healthcare, civic, and commercial construction markets with a union workforce, in-house engineering, and approximately $20M of aggregate bonding capacity. The transaction is structured as an SBA 7(a) plus conventional pari passu leveraged buyout at a $9.5M purchase price. The Sponsor’s value creation plan centers on three levers: (1) margin expansion through operational discipline, (2) organic revenue growth via a professionalized sales function, and (3) disciplined bolt-on acquisitions of $2 to $6M revenue competitors at 3 to 4x EBITDA. In the Base Case, the investment is projected to return approximately 6.6x MOIC and approximately 68% IRR to investors over a 6-year hold, including interim annual distributions beginning in Year 1, driven by EBITDA growth and multiple expansion. Total leverage at entry is 2.16x, providing a conservative debt load with wide covenant headroom across all scenarios.
