With the better part of two decades working in both buy and sell side financial due diligence, we have worked with an array of clients (PE, large and small corporates, searchers, etc.) with varying degrees of interest in what the financial due diligence actually reveals. Searchers, whether solo or traditional, typically have never bought a business before, and in our experience, could use extra guidance along the way with purchase price negotiations, day 1 accounting / cash flow needs, reps and warranties, etc. Also, in our experience as business owners and investors, we have found it difficult to get more than generic advice from outsiders who have not spent a significant amount of time understanding the business as one does during financial due diligence.
