^redacted‌, "healthcare" is not a homogeneous sector; it is a pastiche of niche sub-sectors, some of which share operating/valuation/acquisition characteristics and some of which are highly distinct and individual. I agree with ^redacted‌'s comments. To amplify on them: (1) What kind of roll-up are you contemplating - full ownership, partial ownership/partnership, administrative services/franchise? (2) What financial resources do you have in-house and have access to externally? (3) What healthcare industry operating knowledge and management expertise do you have? (4) What healthcare sub-sector are you intending to pursue - dental, vision, veterinary, psychiatry, physiotherapy, etc.? (5) The different operating/payor characteristics of each sub-sector drive different valuation metrics, acquisition structures/financial leverage and capital requirements. Do you understand these nuances intimately to make a properly informed strategic M&A decision? There are many other issues to consider. Hi Ali, it would be helpful to understand what kind of healthcare? in Germany only or across EU etc? Roll up meaning you already operate a platform and looking to do your first add on or just looking to execute the first transaction? In general, let´s say you are focusing on Germany, then, watch out for payer mix & reimbursement exposure (% of reimbursement, billing catalogue for products might be very different to what it is for a service). Also, be careful of assuming the patients of company A are "the same type" as for your next add-on of company B (e.g. company A might serve patients in a large city, while company B is focusing on rural areas, these are very different). In case you are looking for vertical integration, be aware of regulatory limitation and grey areas in each Bundesland e.g. manufacturer can´t own another company that provides service in the the same sector and vice versa due to antitrust issues, Berufsrecht, Kartellrecht, etc.
