My background is in retail business and I am looking in to health care business. I need some advice and guidance for health care industry. I have submitted LOI for the business.

Based on your LinkedIn profile, it looks like you are not a clinician already. For non-clinicians like us, the Corporate Practice of Medicine (CPOM) statute in your state may make it difficult to acquire a healthcare practice as it prohibits non-physicians from employing physicians directly for the practice of medicine.

There are varying degrees of strictness depending upon the state, and the kind of healthcare business matters. There are some ways to still make an arrangement work though, such as with a Management Services Organization (MSO) that contracts with the practice rather than owns the practice. If this might apply to you, look into it and work with a healthcare attorney in your state.

Healthcare is a broad sector, but there are a few key considerations that apply to any business and are especially important in this space: 1) Who owns the patient/customer relationship? Is it the health practitioners or the business itself? 2) Talent pool risk. This is a very sought-after talent pool, which can pose significant challenges. 3) Who is the payor? Is it B2B, B2C, health insurance, or a mix?
