Hi ^redacted‌, if you're looking to organize a single member LLC to act as an acquisition vehicle, you should for sure rely on low cost legal service providers (e.g., Legal Zoom) and other free/low cost small business services (Mike's suggestion of Founder's Workbench is a good one). You can work with a lawyer, but that is rarely necessary unless you want to do something more complicated with structure or investors (as you note). Let me know if you have any questions. Hey Rishi, is it single member (and if so, is it likely to stay that way for awhile)? If so, as an attorney, I’’d tell you legalzoom et all is fine. If a bit more involved, I’d recommend perhaps splitting the difference - using a low-cost provider to get your draft & then having an experienced attorney give it a quick check (substantially lower fees than drafting 99% of the time).

You’re right, the certificate of formation can always be amended - the extent to which the operating agreement can be amended will be set out in the operating agreement itself. If single member, do make sure the OA grants the company the authority to create and issue additional unit classes and units (e.g., common, preferred, incentive).
