Full Service Marketing Agency Due Diligence

I have a 40 person full service marketing agency under LOI.  I wanted to see if anyone who has experience with running or owning a marketing agency would be open to speak with me about what I should look out for and any gotchas I should be aware of.  I would appreciate anyone’s insights so I know what I will be getting myself into.
