Forming Company

I'm forming a self-funded search company with a partner. Does anyone have guidance on pros/cons of LLC vs. Partnership?

LLC is quick and easy. It's tempting to spend time in getting everything right in terms of company set up etc. My biggest lesson that I didnt get to screening deals fast enough. Rest of it can always be figured out on the fly.

Similar to other people's comments, I would be in favor of an LLC for simplicity and flexibility. It takes no time to setup and it's just as easy to wind down.
