With the June update to the SBA SOP there were some significant changes to the partial buy outs. There seems to be some ambiguity around the potential of F-reorgs as a tool to complete a partial buyout while preserving asset step up and some minimal liability protections.
Has anyone successfully completed a F-reorg transaction as a partial buyout since the June SOP update?
