I was primarily looking for someone to draft the Asset Purchase Agreement and help me look at intellectual property. I ended up getting some advise on how the process would actually work since I didn't have a buy-side advisor. That was well worth an hour of billable time just to have my attorney walk me through the process from LOI, through DD, close, and post-closing. My attorney also handled an operating agreement - though this was rather pro-forma since it was just my wife and I - same with creating an LLC. I could have done the latter but it wasn't worth a few hundred bucks to potentially make a mistake on that. Finally, he created the seller note. All told it was aboutredactedbillable hours on my first acquisition as there was only one or two back and forths with redlines on the APA.
On my next acquisition I expect the operating agreement to be a much more critical pieces as I'm planning to have investors. I would also bring an attorney on before submitting an LOI this time - since that will ideally contain all the important deal points in the first place. Easier to negotiate there than towards the end with an APA.
