Efficient Transaction Costs

We are finalizing the LOI for a small tuck in acquisition ($600k) and looking to make the transaction as efficient as possible while protecting both parties. I am looking for ways that we can work with the Seller and an attorney to do the heavy lifting up front (defining working capital tests, employment agreements, etc.). Does anyone have advice on keeping smaller transactions simple and ironing contentious issues early on to streamline the P&S Agreement?
