I'm close to signing an LOI on a business + real estate deal for a manufacturing company that is heavily regulated by the EPA. Diligence is going to be critical as it is a stock sale and I will inherit all the historical risk. I've put together a list of DD activities and estimated associated cost, but it would be great to hear from those with experience so that I can check my work. TY!

Katelyn - I do not recommend “winging it” for an acquisition of a regulated company stock. The diligence is comprehensive, and greatly affects the representations and warranties of the stock purchase agreement, as well as post-closing agreement issues. What is the specific industry type? I’m happy to assist you if you like. Feel free to contact me or use my calendar link: Vishal S. Petigara, Esq.
