Due diligence and post LOI negotiation references?

Hi All,

I am under LOI and looking for unexpected due-diligence items to watch out for as well as notes on how to handle the tough negotiations post LOI.  I have read the Stanford Primer as well as the excellent due diligence guide and checklist from Endurance Search Partners.

Any pointers to articles/write-ups on this much appreciated!
