I am in the process of looking at an HVAC company that is for sale and wanted to know the most important questions to ask on an introductory call. Additionally I am looking for advice on other areas to focus on during the intro call to determine whether the company will be a good investment. Does anyone have any insight? Any advice is greatly appreciated, thanks!

What is the owner looking to get out of the deal? Why is the owner selling? What is the free cash flow? Then ask for the last 3 years financials with tax records. Don't waste your time if the revenue/EBITDA do not match your target. If the taxes and financials are not in agreement, look for something else to buy.

I'd try and get a sense for the local market and the opportunities in the surrounds. Good thing about HVAC is that its always needed. Where I've heard people winning big is when they get embedded with institutions in the vicinity (plants, hotels, schools, data centers, etc.). Good luck!
