Does anyone have experience with an earn-in?

I’’m looking for information on structuring a partial buy-out then earn-in equity model. While they are not common in smaller deals, I think I found a perfect application, but I’’d love to hear from anyone who has negotiated or experienced this model first hand.

Hi ^redacted‌. We've worked on these. It depends on whether it's a corporation or LLC, but it can be done either way. They do happen a fair amount in smaller transactions, but they're typically off market between people who know each other. Less in the ETA/search space. I'd be happy to discuss it further.
