Does anyone have experience Structuring Holding & PortCos for Reg A?

We are considering incorporating the Holding Company in Delaware with the end goal to have a Reg A + NASDAQ IPO event. 
As for the PortCo's we are considering LLC's in Texas and Florida (Where the Target Acquisitions are Located)
Any comments or referrals on who can help us are greatly appreciated.
