Establishing value can be a challenge. If the target has a lot of equipment (e.g. a site construction company), then both the market value of the equipment and the capital replacement costs will influence the value. Colin's comments about WIP are very valid. If they are not tracking their costs so that the WIP is questionable, then the target may be worth a pass.
