Deal terms for 100% eventual ownership

Hey! I'm a second time searcher. My first deal went well and ended with an over 4x return. I'm looking to do my second deal as a self-funded searcher. I've heard that some searchers today are able to get deal terms based on ROIC (return on invested capital) and not IRR and are able to ultimately own the business. I'd love to learn more. who has done such a deal? What are the standard terms?

I’ve seen this in self-funded deals where investors underwrite to ROIC/MOIC, not IRR. Cash flow goes to investors until a 1.5–2.5x return is hit, after which economics step down or the operator has a call option to buy out remaining equity. Works best with cash-generative businesses and investors focused on capital protection.
