Capital is part of the acquisition system.

Acquisition searchers talk about finding the deal. We should talk just as seriously about capital formation. When I look at a capital stack, I want to know what it must do beyond funding the purchase price. It may need to support the search, diligence, working capital, qualification continuity, leadership transition, customer confidence, and the operating investments that keep the acquired capacity usable. I could not agree more. I am an advisor in the M&A world, and the complete cash flow planning needs to include all items that are to be paid. This will take into account the Working Capital calculations which should have been agreed with the seller as part of the deal and purchase consideration.
