My company DataTel runs QoIT (Quality of IT) diligence, plus HIPAA compliance validation and roadmapping, which tends to matter a lot for healthcare targets under LOI. Accounting QoEs do not address these risks.
We assess internal infra/network and specifically audit against the HIPAA Security Rule, flagging gaps that impact valuation or become post-close remediation costs. We find material issues most of the time providing big negotiating leverage for you prior to close if you choose to be proactive. $200K of legacy hardware debt identified in last assessment. The assessment before that we identified $40,000 in annual licensing waste they were not using that became incremental EBITDA day 1...
