Tax Expert Needed! Not a generalist, but a specialist in the tax implications and nuance of business acquisitions, specifically the use of a 338(h)(10) election to gain the benefit of an asset sale (for tax purposes) and a stock sale (for legal purposes). Seeking only tax experts who have done this and are experts at the details of the tax ramifications to both buyers and sellers. F-reorg is more frequently utilized to achieve this type of benefit, but if you are dealing with an S-Corp a 338(h)(10) election could be utilized. My tax partner (and head of my firm's tax group) does this all the time. Happy to connect you two - shoot me an email redacted
