Asset purchase from a private equity process

All - I was introduced to a small potential asset purchase of a small division that is being shut down by a broader PE owned entity. It is in the manufacturing capital equipment space. It would require putting some effort and resources to stand the business up and one would need to move quickly (in the next few weeks) as it is likely being disolved.
