Hi ^Searchfunder member‌, I've represented a number of clients in the acquisition of technical professional services business. We minimize the risk by having key man provisions in the LOI, purchase agreement and conditions precedent that include employment agreements for all key employee. This helps to defray risk of losing your team after the acquisition. I'd be happy to discuss this further.
