Anyone who bought or was interested in buying heavy machines distribution?, e.g. Caterpillar, John Deer or similar with the same characteristics?, especially with one year/multi year contract towards one brand?

I would be interested to talk more about the risks and its mitigations, especially, structuring the deal, earn-out and seller role after the acquisition in these type of deals.
