Any searchers use the Choate Template Asset Purchase Agreement for their transaction? 
I'm in LOI on a software company acquisition and looking for examples of the follow-on exhibits, schedules, Escrow Agreement -- as referenced in the APA. Anyone have a fully drafted APA package they'd be willing to share?
