1) Make sure seller knows that he/she has to give PG for 2 years with retained equity (<20%) 2) Also, make sure that the seller knows that value of the retained ownership will be a lot less than the % of the price retained. (Assume P=1000, Buyer buys 90% for 900. Say debt is 800, buyer equity is 100. What is the value of seller's retained 10%? Most deals fall apart when seller find this out which is often 2 seconds before closing.) Make sure attorney is aware of this.
