No property management experience, but I bought a recurring-revenue service business in 2024 and overpaid by roughly $150,000, so three questions I'd want answered early:
1. What does the door count and contract mix actually look like? Number of doors, units per contract, tenure, and what share of revenue the top three property owners represent. Management agreements usually have short termination windows, so concentration matters more here than in most service businesses.
2. How much of the revenue is management fees versus everything else? Leasing commissions, maintenance markups, and application fees behave differently and don't all survive an ownership change. Get revenue broken out by line, monthly for the last 36 months.
3. What are the earnings once someone is paid to do the owner's job? My packet claimed $168,699 in SDE; the seller's tax returns showed four straight years of essentially no employee wages, meaning the owner was the workforce. Real earnings were about $120,000. Pull the returns and look at wages paid, not the add-back schedule.
