Anyone have experience buying baby and medical equipment short term rentals

Looking to buy a medical equipment (wheelchair, scooter) and baby (stroller, high chair, car seat, etc) rental company but worried about seller starting competitor.

Need guidance on how to structure around a non-solicitation, potential earn out, and other guarantees to ensure the transfer of ownership goes smoothly.

Located in Florida.
