Anyone experienced/interested in Commercial Construction transactions?
I’m in the early stages of evaluating a government contracting construction platform in the DMV and am starting to think through the right capital structure before submitting an LOI. The company has operated for more than 30 years and performs commercial general contracting and design-build work primarily for government, institutional, school, and university clients across the DC / Maryland market. The business has meaningful bonding capacity, established public sector past performance, and a long operating history.
Recent financials:
2024
Revenue: $10.8M
Adjusted SDE: $1.33M
2025
Revenue: $10.4M
Adjusted SDE: $1.99M
2026 YTD through September
Revenue: $15.6M
Adjusted SDE: $2.99M
I am preLOI and currently working through the capital stack. I expect the transaction would involve a combination of senior acquisition debt, seller financing, and outside equity, with additional working capital needed to support WIP and surety requirements.
I have 15 years of experience in and around this space and already own a construction company that I acquired. At acquisition, that company was highly dependent on the seller. I transitioned it away from the owner operator model, built out a professional management structure, digitally transformed the operating systems, and now have management in place handling day to day operations. I would be approaching this transaction similarly as an operator/sponsor rather than a passive searcher. My role would focus on business development, government contract growth, strategy, capital allocation, and executive leadership, supported by an operations focused GM responsible for day to day construction management.
I am also a service disabled Navy veteran and would be eligible to pursue SDVOSB certification post close, and I have access to MBE certification as well. I see that as a meaningful growth lever given the company’s existing government construction capabilities and past performance, particularly for pursuing setaside opportunities with a more limited competitive pool.
I’d be interested in connecting with lenders, family offices, independent sponsor investors, or other ETA investors who have experience structuring construction or government contracting acquisitions in this size range.
Happy to connect privately with anyone who has relevant experience or interest.
