Anyone buy an exterior construction contractor in Florida

I am under LOI for a business in Florida that does outdoor construction (pergolas etc) and some windows and gutters. There are qualified employees on staff that will come over with sale. I am reading online that the process needs to start over again because it is an asset sale. Anyone go through this?
