Any capital providers interested in an Electrical contracting deal (under LOI) in the West Coast?

I'm looking for capital support outside the SBA to acquire an electrical contracting business (under LOI) with good expansion potential through bolt-ons in the West Coast. It’s approx. $3m revenue and $1m SDE. I’ve offered ~$3.1m and the seller is willing to write note of ~$300k. I have committed capital of $600K. My background is in digital marketing and AI, and I want to grow the business around building individual brands for EV charging and generator installs. The deal has high keymen risk (active owners leaving), which I'm trying to bridge through pre-closing hiring (both onsite and offshore). We're not investors, but want to call this out: You're right about the keyman discount—but that risk becomes your problem at closing. Pre-closing hires often treat symptoms because we don't have full context. The real issue: the business was designed around specific people, not transferable systems. Without fixing that design, you're buying an expensive job, not an asset. Once you close, you'll need to rebuild the structure fast or you'll be trapped in operations. I'd be a little skeptical of ~$1 million SDE with just $3 million in revenue in the industry unless there are wages of multiple owners who are very actively involved being added back. Happy to chat if you're looking for a strategic equity partner: redacted
