Finalizing a small deal with a seller wanting to rollover equity and also amenable to an earn-out. Looks like there are several restrictions imposed by the SBA. Has anyone worked with lenders who do sub-$5m EV transactions?

I came across a creative financing strategy from Duneland Financial that involves acquiring a credit-optimized SPV and then acquiring institutional-grade collateral portfolios for 5% of face value. The acquired collateral is then listed as AR at full face value, qualifying them for up to 100% financing through asset-based lenders. There are a few comments about Duneland in the forum, but I haven't seen any testimonials from anyone that's successfully utilized their services. If anyone has worked with them I'd appreciate any feedback!

Hey Vijay, definitely talk to the SBA lenders on their thoughts. I am assuming the biggest hesitation is the latest update about any seller keeping rollover equity has to provide a PG against the loan even if they have less than 20% ownership. local banks, especially any bank the seller has a current, good relationship with are also viable options... especially community banks.
