Advice needed
Hey everyone, I’m about to go under contract on a $45M pharmacy roll-up consisting of three pharmacies: two in Florida and one in New York. We’re effectively at the last rung of negotiations with the broker. We’ve agreed to proceed on a non-exclusive basis for now, but the sellers are willing to provide 60 days of exclusivity in exchange for a 1% earnest money deposit, or approximately $450K. Deal snapshot: * $45M total purchase price * ~$8M combined EBITDA * 20% seller financing across all three businesses * 20% equity/down payment from investors * Remaining purchase price expected to be financed through senior debt * Three established pharmacies across Florida and New York * I have 8 years of direct pharmacy industry experience * I’ve assembled a network of 20 pharmacists, including former supervisors and colleagues, who have agreed to remain available on an ongoing consulting basis Given the EBITDA, seller participation, and overall capital structure, I’m confident in our ability to raise the acquisition capital. The immediate challenge is more specific: funding the $450K EMD required to secure the 60-day exclusivity period while we complete diligence and finalize the capital stack. Has anyone here financed an EMD of this size for an acquisition? I’d especially appreciate introductions to groups that provide short-term acquisition deposits, bridge capital, or other solutions for earnest money.
