Acquisition of a business with international operations

Hi everyone!

Does anyone have acquired a single company with operations in multiple countries, particularly involving LatAm and the US?
If so, it would be interesting to understand legal and fiscal structure alternatives.

It's very country specific. Typically the company will have an entity in each country in which it operates, and sometimes this is a requirement (or alternatively that they have a JV or some other partnership type arrangement with a local entity to enter into leases, hire employees etc). Ideally there is a Holdco that you can acquire shares in, which will reduce some of the complexity (though not all). Usually you have to engage local attorneys in each jurisdiction to perform adequate diligence and structuring. If you're not acquiring all operations you can do an asset sale and pick and choose or acquire shares of specific subs.

Hi Tammara, I think you can reach out to your alumni from Getulio Vargas about this. A lot of them have experience with this. Also you can try the Associação Comercial de São Paulo (https://acsp.com.br) for individuals in your region that has dealt with something similar.
