Acquiring an overseas software company

Hello -

I am looking to put an LOI on an India based software company. We are incorporated in the US as Delware C -Corp. Does anyone have any experience in similar cross border transaction ? ( Legal Structure, Financing, etc.)

Would love pick your brain if you have done a transaction like this.

I believe most attorney's with experience handling cross border transactions can give you a few key considerations regarding legal structure. As for financing, I believe lenders (on either side of the pond) will look to where the ultimate parent is domiciled, where IP will be held, where will revenue get booked and countries of origin of revenue.
