ACCOUNTING QUESTION: Goodwill created through 75% acquisition

Hello All
I am looking at acquiring 75% of a business and seeking some high level input on structure so as to get the benefit of goodwill creation and avoiding taking on any existing liabilities.  it is a small simple business with sub $1M EBITDA and basically $0 in assets.
