3. Industry Overview: Prove the market is attractive with hard data on size, growth, and tailwinds.
4. Target Company Profile: Detail the operations, revenue streams, customer mix, and team stability.
5. Value Proposition & Differentiation: Clearly define the company's "moat." Why do customers choose them?
6. Expert Takeaways / Market Validation: Show you've done the work. Share key insights from your DD calls with industry experts. This builds massive credibility.
7. Value Creation Plan: This is crucial. What are the specific, actionable initiatives you will implement to grow the business? Tie them to your financial projections.
8. Transaction Overview: Full transparency on the deal structure. A clear sources & uses table is non-negotiable.
9. Financial Analysis: Historical to show stability, and well-reasoned projections to show potential. Clearly list your key assumptions.
