$4.7M EBITDA Heavy Civil / Infrastructure Contractor in Western US

Hi All, A pleasure to join this platform and network with so many professionals. I am currently evaluating the acquisition of a well-established heavy civil / infrastructure contractor in the western U.S. The business is equipment-rich, has meaningful bonded backlog, and is underwritten at approximately $4.7M of normalized EBITDA. Proposed structure is roughly $12.5M fixed consideration, with senior debt and subordinated seller paper already contemplated. I am seeking $2.5M of equity capital at closing, plus access to up to $1.0M of contingent working-capital support as a backstop to timing differences in receivable collections. I have not sent out the LOI as of yet and would prefer to work closely with an equity partner(s) from the on-set, to structure a transaction that fits the buy-side as a team. Current discussions with lenders are positive, with a capital stack of ABL, senior debt and equipment finance. I am an active construction operator, not a passive searcher, and the investment thesis is based on operational discipline, margin improvement, and scalable growth rather than financial engineering. I have worked at C-Suite level with some of the largest GC's in the industry and managed project portfolios in excess of $4bln. Looking to connect with serious accredited investors / equity partners who are comfortable with lower-middle-market acquisition opportunities, asset-backed businesses, and operator-led value creation.
