The business is an established CPA and tax advisory firm in the Mid-South region with 30 plus years of operating history under current ownership. Two offices in the same metro area, approximately ten staff with long tenure, sole owner who has rebuilt the firm over the last two decades into a lean owner-operator model after exiting a larger multi-partner structure earlier in his career.
The practice runs tax preparation as the primary service line for both individual and business returns, alongside advisory work that includes business valuation and forensic accounting engagements. No audit work, no SEC clients. Client base is diversified across professional services (law firms, doctors, medical clinics), construction and contractors, and individual high-net-worth returns. Some clients are out of state, having moved to lower-tax jurisdictions over the years, which the firm continues to serve remotely.
Revenue last fiscal year was approximately 1.2 million. SDE is in the 250 thousand range with owner compensation normalized (current owner draw is split between a modest base salary and distributions). The firm has been roughly flat on revenue for several years, with stable client retention being the headline characteristic — same client base year over year with normal attrition and replacement. The owner described the accounting business as having strong retention, "people pay, pass away, or sell businesses" but the firm has consistently added back what it loses.
Technology stack is modern. Cloud-hosted since approximately 2016 with no on-premises servers. Two client portals for document exchange. Tax software relationship with a long-standing provider. Solid data security and daily cloud backups. Both offices operate on the same infrastructure.
The good. 30 plus years of operating history and brand equity in the local market. Stable client retention with diversified end-markets, no client concentration. Two office footprint already established, immediate metro coverage for an acquirer. Modern tech stack and remote-capable infrastructure already in place. Advisory revenue beyond pure tax prep adds higher margin work and harder-to-replace capability. Owner is motivated by retirement and fatigue, not financial pressure, and is willing to stay through transition for up to 12 months.
The bad. No internal successor. Owner described his two strongest staff as capable technicians but not managers; whoever acquires needs to bring or build operational leadership for the larger of the two offices. Modest organic growth over the last several years, business has been flat rather than expanding. One outstanding negative online review the owner is actively working to address. Sole owner with concentrated client relationships, key person risk on transition. Asking price expectation is roughly 1.25 times revenue or modest premium on that, so approximately 1.5 million plus, though the owner described this as open to negotiation.
Why this is interesting for a searcher or independent sponsor. The combination of stable cash flow, low client concentration, modern infrastructure, and a motivated retiring owner is hard to find at this size. The advisory work (valuation, forensic) is differentiated revenue that's harder to commoditize than pure tax prep. A buyer who can bring or develop operational management has a 30 year platform with two offices to grow from, in a market where competition is fragmented and most firms are still partner-led traditional practices. SBA financing should be available given the financial profile.
