Legal structure of a Search Fund?

I'm just beginning to explore the search process.  I have a sole proprietorship LLC.  How does it work I start recruiting investors?  Is there a limit to the number of co-owners I can add without incorporating?  Or should I incorporate in any case?

But crowdfunding can change that. Google Regulation CF to see the requirements. But it’s small money for an acquisition.

Entity type doesn’t matter. Usually investors must have assets or income high enough to be “accredited”. https://www.investor.gov/additional-resources/news-alerts/alerts-bulletins/updated-investor-bulletin-accredited-investors
